Terms of Service

Effective date: March 1, 2026

1. Acceptance of Terms

By accessing or using Smidge (“the Service”), operated by Smidge (“we,” “us,” or “our”) at smdg.app, you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

The Service includes the Smidge web application, API, and CLI tool (smdg).

2. Account Creation

To use the Service, you must create an account using GitHub, Google OAuth, or email and password. You are responsible for:

  • Providing accurate and current information
  • Maintaining the security of your account credentials and API key
  • All activity that occurs under your account

You must be at least 13 years of age to create an account. If you are under 18, you must have parental or guardian consent.

3. The Service

Smidge provides an AI-powered pipeline that converts source materials (documents, videos, audio, web pages) into structured Agent Skill files (SKILL.md). The Service processes your uploaded content through multiple AI models to extract, structure, and synthesize skill instructions.

4. Credits & Billing

The Service operates on a credit system:

  • Free tier: 2 credits granted upon signup
  • Credit packs: One-time purchases of 5, 15, or 50 credits
  • Unlimited subscription: $19/month for unlimited generations, subject to our fair use policy

Each skill generation consumes 1 credit (or 0 credits for unlimited subscribers). Credits do not expire but are non-refundable and non-transferable.

Payments are processed by Stripe. By purchasing credits or subscribing, you agree to Stripe's terms. Subscriptions renew automatically until cancelled. You may cancel at any time through your account page or Stripe's billing portal; access continues until the end of the billing period.

5. Fair Use Policy

Unlimited subscribers are subject to a fair use soft cap of 100 generations per calendar month. This limit exists to prevent abuse and ensure quality of service for all users. We may contact you if your usage consistently exceeds this threshold.

6. Acceptable Use

You agree not to:

  • Upload content you do not have the right to use
  • Use the Service to generate illegal, harmful, or abusive content
  • Attempt to reverse-engineer, decompile, or extract the underlying AI models or pipeline logic
  • Resell or redistribute the Service itself (generated skills are yours — see Section 7)
  • Use automated tools to scrape or overload the Service
  • Share your API key or allow unauthorized access to your account
  • Circumvent rate limits, credit systems, or access controls

7. Generated Content Ownership

You own the output. All skill files (SKILL.md and associated reference/script files) generated through the Service are yours. You may use, modify, distribute, or sell your generated skills without restriction.

You are responsible for ensuring you have the right to use the source materials you upload. Smidge does not claim ownership over your uploaded content or generated output.

8. AI-Generated Content Disclaimer

Skills are generated using artificial intelligence. While we strive for accuracy and quality, AI-generated content may:

  • Contain errors, inaccuracies, or hallucinations
  • Not fully capture the nuances of your source material
  • Require manual review and editing before production use

You are responsible for reviewing all generated content before deploying it. Smidge does not guarantee the correctness, completeness, or fitness for purpose of any generated skill.

9. Intellectual Property

The Smidge name, logo, website design, pipeline technology, and all associated intellectual property remain the exclusive property of Smidge. You are granted a limited, non-exclusive, non-transferable license to use the Service in accordance with these terms.

The open Agent Skills specification is a separate project with its own license. Generated skills conform to that specification but are not endorsed by its maintainers.

10. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your data.

11. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SMIDGE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

13. Termination

You may delete your account at any time through your account settings. We may suspend or terminate your account if you violate these terms, with or without prior notice.

Upon termination:

  • Your access to the Service will cease immediately
  • Any remaining credits are forfeited
  • Your uploaded source files will be deleted
  • You may export your generated skills before deletion

14. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or through a notice on the Service. Your continued use after changes take effect constitutes acceptance of the revised terms.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of the United States. Any disputes shall be resolved in the courts of competent jurisdiction.
